- "Engagement"means a specific advisory or compliance project agreed between us and confirmed in writing.
- "Content"refers to all text, documents, reports, materials, and other outputs produced by us in the course of an Engagement.
2. Acceptance of Terms
By using our website or engaging our services, you confirm that you:
- Are at least 18 years of age and have legal capacity to enter into agreements.
- Have read and understood these Terms and Conditions in full.
- Agree to be bound by these terms, and any supplementary engagement-specific terms we issue.
If you are engaging on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.
3. Description of Services
Rambutan Legal provides professional tax advisory services to individuals and corporate clients in Singapore, including:
Personal Income Tax Planning
Advisory on personal income tax obligations, applicable reliefs, and tax residency matters under the Income Tax Act.
Corporate Tax Structuring
Strategic advisory on corporate tax planning, including structuring arrangements, group relief, and cross-border tax considerations.
GST Registration & Compliance Advisory
Support with GST registration, input tax recovery, and ongoing compliance under Singapore's Goods and Services Tax Act.
The scope, deliverables, and timeline for each engagement will be confirmed in a written engagement letter. We reserve the right to decline any engagement at our discretion.
4. User Responsibilities
In connection with your use of our website and services, you agree to:
- Provide accurate, complete, and current information when engaging our services or submitting enquiries.
- Notify us promptly if any information you have provided changes materially.
- Not use our website for any unlawful purpose, or in a manner that could damage, impair, or overburden our systems.
- Not attempt to gain unauthorised access to any part of our website or related systems.
- Not reproduce, distribute, or commercially exploit any Content or materials from our website without prior written consent.
5. Intellectual Property
All intellectual property rights in our website content, advisory reports, templates, and other materials produced by us are and remain the property of Rambutan Legal.
Upon full payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to use the advisory Content produced specifically for your engagement, solely for the internal purposes for which it was prepared.
You may not share, publish, or otherwise distribute any advisory reports or documents produced by us without prior written consent, except to your professional advisors who are under obligations of confidentiality.
6. Fees & Payment

- All fees are quoted in Singapore Dollars and are inclusive of applicable GST unless stated otherwise.
- Payment terms will be specified in the engagement letter. Standard terms are payment within 14 days of invoice date.
- We reserve the right to pause or decline services where payment has not been received by the agreed date.
- Refunds are considered on a case-by-case basis. Where advisory work has commenced, fees for work completed are non-refundable.
7. Service-Specific Terms
The following conditions apply specifically to the professional advisory services we provide:
- Advisory opinions are based on the information provided by the client and the tax law in force at the time of the engagement. They do not constitute a legal opinion and should not be treated as such.
- Tax positions outlined in our reports reflect our professional assessment and are not a representation as to how IRAS or any other authority will determine a matter.
- We will notify you of any significant changes in law that materially affect a current engagement, but we are not obligated to update prior advice to reflect subsequent legislative or regulatory changes.
- Completion timelines are estimates based on the information provided and may be affected by factors outside our control, including third-party response times and regulatory processing.
- All client information is held in strict confidence in accordance with our Privacy Policy.
8. Disclaimers
- Our website and its content are provided for general information purposes only. They do not constitute professional tax or legal advice.
- We make reasonable efforts to ensure that information on our website is accurate and current, but we make no representation as to its completeness or accuracy.
- Tax outcomes depend on individual circumstances. Outcomes described or illustrated on this website are indicative only and are not a projection or commitment in respect of any specific matter.
- We do not provide legal advice. Where matters require legal representation, you should engage a qualified Singapore-admitted advocate and solicitor.
9. Limitation of Liability
To the fullest extent permitted by applicable law:
- Our total liability to you in connection with any engagement shall not exceed the fees paid by you for that specific engagement.
- We are not liable for any indirect, consequential, special, or punitive damages arising from the use of our services or website.
- We are not liable for events beyond our reasonable control, including but not limited to changes in tax legislation, regulatory decisions, or system outages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Rambutan Legal, its advisors, and associates from and against any claims, losses, or expenses (including reasonable legal fees) arising from: (a) your use of our website or services in breach of these terms; (b) any inaccurate or misleading information provided by you; or (c) any violation of applicable law by you.
11. Termination
Either party may terminate an engagement by providing reasonable written notice. Upon termination:
- Fees for work completed or in progress at the date of termination remain payable.
- Obligations of confidentiality, intellectual property, and limitation of liability survive termination.
- We may retain copies of your data for the periods required by law, as described in our Privacy Policy.
We reserve the right to suspend or terminate access to our website or services if we reasonably believe these terms have been breached.
12. Dispute Resolution
These Terms and Conditions are governed by the laws of the Republic of Singapore. In the event of a dispute:
- Both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute arising.
- If negotiation does not resolve the matter, disputes shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign any rights or obligations under these terms without our prior written consent.

14. Changes to These Terms
We may update these Terms and Conditions from time to time. Material changes will be communicated by updating the effective date on this page. We may also notify you directly where we consider a change to be significant.
